Terms and Conditions

These Terms and Conditions ("Terms") govern your use of unionwear.com (the "Site"), operated by Unionwear ("Unionwear," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. What This Site Is

The Site presents information about our products and manufacturing capabilities, lets you register for a free pricing account, and allows you to request quotations and contact us. The Site does not accept orders or process payments. Nothing on the Site is an offer to sell.

Product descriptions, specifications, images, lead times, and any pricing shown are for general information and are subject to change without notice. Colors and finishes shown on screen are approximate and will vary from physical goods.

2. Quotations and Orders

A quotation request submitted through the Site is an enquiry, not an order, and does not create a binding agreement.

Any resulting order is governed by the terms stated on the written quotation, order acknowledgement, or sales agreement we issue for that order. Where those documents conflict with these Terms, those documents control for matters relating to that order — including price, quantities, tolerances, lead times, payment terms, shipping, cancellation, and returns.

Quotations are valid for the period stated on them and are subject to change if your specifications, quantities, or materials change.

3. Artwork and Customer Materials

Our products are decorated with logos, marks, and designs supplied by customers. This section matters, so please read it.

By submitting artwork, logos, trademarks, text, images, or other materials ("Customer Materials") to us, whether through the Site or otherwise, you represent and warrant that:

• You own the Customer Materials, or hold all rights and licenses necessary to reproduce them on manufactured goods;
• Our use of the Customer Materials as you have directed will not infringe any copyright, trademark, trade dress, patent, right of publicity, or other right of any third party;
• You have authority to grant the permissions in this section — including, where the materials belong to a union, political campaign, government body, or other organization, that you are authorized to act on that organization's behalf.

You grant us a limited license to reproduce, modify for production purposes, and apply the Customer Materials to goods for the purpose of fulfilling your order.

You agree to indemnify and hold Unionwear harmless from any claim, demand, loss, or expense, including reasonable attorneys' fees, arising out of a claim that the Customer Materials, or our use of them at your direction, infringe or violate the rights of a third party.

We may decline to reproduce any material at our discretion. We do not review Customer Materials for infringement, and our acceptance of an order is not a representation that the materials are clear of third-party rights.

4. Our Intellectual Property

The Site and its contents — including text, photographs, product imagery, page design, and the Unionwear name and logo — are owned by Unionwear or our licensors and are protected by intellectual property law.

You may view and print pages of the Site for the purpose of evaluating our products or preparing an order. Except as permitted in Section 5, you may not otherwise copy, republish, scrape, or use our content commercially, or use our name or logo, without our written permission.

Union labels and other third-party marks appearing on the Site are the property of their respective owners and are shown for identification only.

5. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose, or in violation of these Terms;
• Submit false information, or impersonate another person or organization;
• Attempt to gain unauthorized access to the Site, its servers, or any connected system;
• Introduce malicious code, or interfere with the operation of the Site;
• Use automated tools to scrape, harvest, or systematically extract content, except as permitted below;
• Use the Site to send unsolicited commercial messages.

Permitted automated access. We permit automated crawling of the Site by search engines and by AI systems — for indexing, for answering user queries, and for training AI models — provided the crawler identifies itself, follows the directives in our robots.txt file, and does not interfere with the operation of the Site. We may change these permissions at any time by updating robots.txt. This permission does not extend to republishing our content as a substitute for the Site, or to using our name, logo, or product imagery to market goods we did not make.

6. Third-Party Links

The Site links to other websites, including our social media profiles. We do not control those sites and are not responsible for their content, products, or practices. A link is not an endorsement.

7. Privacy

Our handling of information about Site visitors is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

8. Disclaimers

Nothing in this section limits any warranty we give in a written quotation, order acknowledgement, or sales agreement in respect of goods we manufacture. Those warranties are stated in those documents.

9. Limitation of Liability

This section applies to your use of the Site. Liability in respect of goods we manufacture and sell is governed by the terms of the applicable quotation, order acknowledgement, or sales agreement.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of the above may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Unionwear and its officers, employees, and agents from any claim, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Site, your breach of these Terms, or your violation of any law or the rights of a third party. This is in addition to the indemnity in Section 3.

11. Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Essex County, New Jersey, and you consent to the jurisdiction of those courts.

12. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site and revising the "Last updated" date. Your continued use of the Site after a change takes effect means you accept the revised Terms.

13. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and Unionwear concerning your use of the Site. You may not assign these Terms without our written consent.
